Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agent Invoice (the "Service"), operated at agent-invoice.com and app.agent-invoice.com. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Agent Invoice is a billing and invoicing platform that lets you create clients, draft and send invoices and estimates, accept payments through connected Stripe and/or PayPal accounts, automate reminders, and - on qualifying plans - access a developer API, outbound webhooks, and an MCP server for programmatic and AI-agent use.

We may add, change, or remove features at any time. We'll do our best to give notice of material changes that reduce functionality on a paid plan.

2. Accounts

  • You must provide accurate registration information and keep it current.
  • You're responsible for activity on your account and for keeping your login credentials and API keys confidential.
  • You must be legally able to enter into a binding contract to use the Service.
  • One account per business is expected; contact us if you need multiple linked accounts.

3. Subscription Plans & Billing

Agent Invoice offers a Free plan and paid Starter, Pro, and Agency Pro plans, billed monthly or annually as shown on our Pricing page. By subscribing to a paid plan you authorize us to charge your payment method on a recurring basis until you cancel.

  • Subscriptions renew automatically at the end of each billing period unless canceled beforehand.
  • You can upgrade, downgrade, or cancel at any time from your billing dashboard; changes to a lower plan or cancellation take effect at the end of the current billing period.
  • We may change our prices with at least 30 days' notice to active subscribers; continued use after a price change takes effect constitutes acceptance.
  • Fees are exclusive of applicable taxes, which we may collect where required by law.

4. Payment Processing

Payments you collect from your clients are processed directly by Stripe and/or PayPal through accounts you connect and control. Agent Invoice does not custody your funds, does not set your processing fees, and does not store full payment card numbers on our servers. Your use of Stripe and PayPal is separately governed by their respective terms of service, and you're responsible for complying with them, including any underwriting or verification they require.

5. Your Content & Data

You retain ownership of the client records, invoices, estimates, and other content you create or upload ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Service (for example, generating PDFs, sending emails on your behalf, and calculating totals). You're responsible for having the right to enter your clients' data into the Service and for the accuracy of Your Content.

6. Acceptable Use

You agree not to use the Service to:

  • Issue fraudulent, deceptive, or fictitious invoices, or bill for goods/services you don't intend to provide;
  • Violate any applicable law, or the rights of any third party, including intellectual property and privacy rights;
  • Send unsolicited bulk email or otherwise abuse our email-sending or webhook infrastructure;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Reverse-engineer, resell, or white-label the Service beyond what a plan's branding features expressly permit;
  • Use the developer API or MCP server in a way that circumvents plan limits or rate limits.

We may suspend or terminate accounts that violate this section.

7. Developer API, Webhooks & AI Agents

Agency Pro accounts may generate a secret API key and configure outbound webhooks and MCP access. You are responsible for all activity performed using your API key, including actions taken by AI agents or automated systems you configure. Keep your API key confidential and regenerate it immediately if you believe it has been compromised. We may rate-limit or throttle API and webhook traffic to protect Service stability.

8. Third-Party Services

The Service integrates with third-party providers, including Stripe, PayPal, Supabase, and email- and mail-delivery providers. We are not responsible for the acts, omissions, availability, or terms of those third parties.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or use the Service in a way that creates legal or security risk for us or others. Upon termination, your right to use the Service ends; certain data-retention and deletion terms are described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure. Agent Invoice is not a bank, money transmitter, or payment processor - payments are processed by Stripe and PayPal.

11. Limitation of Liability

To the maximum extent permitted by law, Agent Invoice and its founders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Agent Invoice harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Georgia.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify active subscribers by email or in-app notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
